Commercial sales

We act for clients in relation to retail, industrial, healthcare and general commercial real estate sales.

We possess a detailed understanding of the interplay between current prevailing economic conditions and investor demands for different real estate assets.   This places us in a strategic position to, on a matter-by-matter basis:

  • generate commercially sound solutions addressing the specific key issues and transaction pressure points with a view to getting the deal done; and
  • ultimately, achieve the best commercial outcomes for our clients (having regard to their unique objectives) during differing economic environments.

In particular, we have significant experience acting for clients in relation to the sale of the following real estate assets:

  • Neighbourhood and sub-regional shopping centres (including shopping centres anchored by large-format supermarket operators);
  • Childcare centres;
  • Freestanding supermarket and liquor assets;
  • Large format industrial warehouses;
  • Medical centres; and
  • Greenfield development sites.
Luxury residential sales

We provide agency services to owners of luxury residential properties.

We understand the (emotional and financial) significance of our clients’ decision to sell their homes and strive to ensure that each step of the sale process is executed effectively and without stress to our clients.

Having attained experience within the legal sector, we alleviate the burden of having to frequently liaise with solicitors and other professional advisers to get the deal done, such that the sale process is streamlined and operates smoothly from start to end.

Acquisitions

We provide acqusition agency services for purchasers and investors across retail, commercial, industrial and luxury residential real estate
asset classes.

We are strategically placed to assist clients in acquiring real estate assets which suit their legal, financial and development objectives,
having:

  • a comprehensive understanding of real estate and planning legislation and proper due diligence processes; and 
  • advised on various purchaser-related issues in real estate acquisitions across all asset classes.

In particular, we are well-versed in:

  • negotiating the key commercial terms of our clients’ real estate acquisitions, including (amongst other conditions):
    • purchase price calculation methodology, having regard to the relationship between capitalisation rates and current macroeconomic
      conditions;
    • income and/or rental guarantees; and
    • regimes designed to protect purchasers against unknown risks, such as seller warranties (ensuring that any seller warranties are
      commercial and pragmatic, having regard to each specific transaction); and
  • recommending which prudent due diligence enquiries and investigations are undertaken in relation to the asset(s) being acquired
    and working with our clients’ professional advisers (including solicitors) to ensure the appropriate enquiries are made and
    solutions generated to address any issues uncovered during due diligence.
Asset management

Asset management services for commercial and luxury residential real estate assets.

Our comprehensive understanding of the legal aspects relating to retail, commercial and residential leasing enables us to generate commercial and pragmatic solutions to all real estate management issues without compromising on our clients’ ongoing compliance with their legal obligations as landlords.

Coupled with our knowledge of the legal aspects of leasing is our general commercial acumen.  Our goal is not to preserve what is already existing.    We aim to maximise the value of our clients’ property portfolios by advising on and recommending (amongst other key terms):

  • optimal rental structuring solutions (particularly for major and mini-major anchor tenants, including supermarket operators);
  • desirable tenancy mixing strategies;
  • solutions to enable the future redevelopment of sites; and
  • the key commercial terms on which new leases should be granted, particularly in relation to major and mini-major anchor tenants (to enhance the attractiveness of real estate assets to prospective investors/purchasers).
Tenant property advisory

We provide property advisory services to retail, commercial and industrial tenants.

We are experienced in negotiating the key commercial terms of various tenure arrangements on behalf of tenants, including agreements for lease, leases and licences.

We possess an intricate understanding of the issues relating to tenure arrangements which add the most value to our clients’ businesses, or conversely, adversely impact upon value (including rent and outgoings structuring, rental incentives, rental review mechanisms and limitations, length of tenure, restrictions on assignment and redevelopment), and work with our clients to ensure these issues are adequately addressed and resolved.  Critically, our experience advising clients within the legal sector enhances our ability to generate commercially palatable solutions when negotiating these key issues for our clients.
